The purpose of this letter is to allow Zeos to fulfill the
request from Cirrus Diagnostics Inc. for MS-DOS
5.0 on computer system shipped to them with MS-DOS 6 and
Enhanced Tools. The following terms will
apply:<br />

1. The number of copies of MS-DOS 5.0 fulfilled may not be
greater than the number of computer
systems that Zeos has sold to Cirrus Diagnostics with MS-DOS
6 and Enhanced Tools.<br />
<br />
2. The fulfillment must be completed by September 30, 1993.
<br />
<br />
3. Product shall be offered, at "no charge" except that
COMPANY may charge its reasonable COGs,
shipping, handling and postage fees.<br />
