While I think that BODs are rarely working the way they are
theoretically intended to work, this is hardly a Nokia or MS
problem. They rarely are representing the interests of
shareholders over the interests of company management. There
is a too cosy a relationship, and I don't see a way to
rectify it without some laws mandating more separation of
directors interests from inside executives'.

Company management are who put them on the BOD, and it is
them they are beholden to. After that, you get the
phenomenon of executives sitting on each others boards,
which removes any pretense of working for shareholders. How
else can we explain out of control executive compensation
and golden parashutes - "scratch my back and I will scratch
yours!"

Back to Microsoft and Nokia, I don't discount MS' ability to
do such a think. But, I doubt they were working Elop for
their interest in Nokia. Elop was not a MS longtimer - I
think he was at MS for about a year before jumping ship to
Nokia. I think he moved from Juniper, to MS, to Nokia within
a year or so. He is simply one of those professional career
jumper - good at presenting himself well and jumping ship
before having to live with his mess.
