I'd argue that until you actually use the software you have no contract with
Microsoft, so it's the retailers problem to refund you.

Last time I looked there were 36 different Win 7 EULAs on MS's web site.
They were divided into 2 main catogories:-
Preinstalled (OEM)
Install it yourself
(severely paraphrased)
The refund conditions are different but both are obnoxious and should not be
legally enforceable. (IMO) And if you were dealing in physical goods or some
other type of service probably would not be.
