As many have said before: MS is only interested in the
patents held by Nokia. As the owner of the patents, MS can
collect their tax on every Android device sold.
This makes Android devices more expensive and MS devices more
price competitive. Once the acquisition of Nokia can be done
cheaply enough, the patents are well worth their price to
Microsoft - even if they close the doors on all Nokia
facilities.

M$ just wants the patents, and they need to get Nokia in dire enough straits to
get them to sell them off at fire sale prices to M$.
