Why did Nokia board cooperate in rape of the company?
Authored by: jvillain on Saturday, June 16 2012 @ 01:58 PM EDT
Don't forget Microsoft came with a big pile of up front cash. It seems the only
way any one uses an MS product is if they get cash. Look at how much money Bing
has forked out to get people to use their product. The fact that they would fall
off a cliff that fast was probably a shock to the board in hind sight. But what
are they going to do? Admit they messed up? That would cost them their bonuses
and open them up to legal action for incompetence and mismanagement.

Look for more of these deals to keep happening. MS is sitting on a massive pile
of money that they won't bring back to the US because they would have to pay
taxes on it. Keep that in mind as the US economy gets wiped out after the US
starts cutting a trillion dollars a year out of their budget in order to not
become Greece.

Who is on Nokia's board
Authored by: bugstomper on Saturday, June 16 2012 @ 09:11 PM EDT
Just from looking at the list of directors in the wikipedia entry for Nokia I
see that four out of the 11 members of the board, including Elop, were appointed
in May 2011. Another three of them were appointed last month. At the same time
last month Risto Siilasmaa, who has been a member of the board since 2006, was
made Chairman. He is also Chairman of the Corporate Governance and Nomination
Committee.

That's 8 out of 11 on the board who are presumably on the side of Elop and the
partnership with Microsoft, but doesn't provide details about any possible power
play that led up to the decision to bring in Elop and Microsoft in 2010. Yes, I
am assuming that the decision to bring in Elop as CEO was a decision to sell out
to Microsoft, and that it was not simply that Elop took a look at the situation
at Nokia and then had the idea to partner with Microsoft.

One thing I do notice is that the new Chairman of the Board is founder and Chair
of F-Secure. That's an anti-virus software company, which means that they have
to have close ties to Microsoft. Their whole business depends on Microsoft
continuing to do business the way they have been, and I bet that there is plenty
that Microsoft to do for them or to them at any time.

Influential American investors. Legend has it the Chairman wanted a Finn. He
got a call to appoint Elop or he would be replaced and Elop would get the spot
anyway. So he caved.
