I think it would be worthwhile to do text versions of all the exhibits [PDF], the ones that are not sealed, which SCO attached to its new proposed sales plan just filed with the bankruptcy court. Details can matter. Let me give you an example. Remember when SCO's Darl McBride told the court in the SCO v. Novell trial in Utah that the only way to get Unix System V was to buy UnixWare, that he suspected that anything of value in the former was in UnixWare? Look at the products they are selling, though, or proposing to sell, as listed on Exhibit B, under the subheading 'Operating System Products'. Does that list seem to you to match SCO's story? Here's what I see: more UNIX System V operating systems products than UnixWare products. Didn't SCO tell the court that the UNIX System V products had no monetary value to shake a stick at, that they were just thrown in for free when people bought UnixWare? Yet, here they are selling them, as far as I can tell. I'll keep adding Exhibits as I can get them hand-typed. Exhibit C is hard, hard, hard, so if anyone can help out, it'd be a real boon. It's like the early days of Groklaw, when we had to hand type everything.
Here's part of Darl's testimony:
Q. Why don't we take a look at the bottom of the page. And when you talk about SCOsource licensing revenue, as distinct from UnixWare revenue, you describe it as:
SCOsource licensing revenue consists of revenue generated from vendor licenses to use our proprietary UNIX System V code as well as IP licenses.
Correct?
A. Yes.
Q. Accurate statement; right?
A. Yes.
Q. You're licensing the trunk of the tree; correct?
A. Correct.
Q. And this revenue does include the Sun and Microsoft licenses; right?
A. Yes. Yes. Along the way we created a division, and we put as many licensing revenue pieces that we could in the SCOsource division.
Q. Let me show you what we've marked and been admitted as Exhibit 313.
Mr. McBride, there is your Form 10Q for the period ending July 31st, 2004; correct?
A. Yes.
Q. And if we go to -- we'll go to your certification on Page 61.
Again, on September 14th, 2004, you read the document; correct?
A. Yes.
Q. And you wouldn't allow someone to place your electronic signature on it unless you read it and believed it to be accurate; correct?
A. Correct.
Q. Why don't we go to Page 32 -- I'm sorry. We'll start on Page 31.
On Page 31 of the Q, it was written:
Our product revenue consists of software licenses of our UNIX products primarily OpenServer and UnixWare as well as sales of UNIX related products.
Correct?
A. Correct.
Q. So when you're talking in the financials about what products revenue is, it's software license of OpenServer and UnixWare.
A. Everything in software turns on a license. So, yes, it was UNIX products and OpenServer UnixWare.
Q. But when the term products revenue is used, it's specific to OpenServer and UnixWare licensing; right?
A. That's typically how we do did it, yes.
Q. Why don't we turn to the next page, Exhibit 32 --
Page 32.
So you see on the next page, Mr. McBride, there's a listing there of the UnixWare revenue and OpenServer revenue for the nine months ending July 31st, 2003, and 2004. And neither of those numbers or those line items include the Sun and Microsoft agreements; correct?
A. What period of time is this talking about?
Q. Well, at the top it's the nine months ending July 31st, 2003, and 2004. So nine months prior to July 31st, 2003, and 2004. And there is a line item for UNIX revenue, UnixWare revenue and OpenServer revenue; correct?
A. This thing is so dark on the screen I can't even read it. Let me go to the page. Which page are we on here?
Q. 32.

THE WITNESS: Okay. So what's the question then?
Q. BY MR. ACKER: When you're talking about these line items up here, UnixWare revenue and UNIX licensing --
A. Right.
Q. -- that does not include the Sun and Microsoft agreement?
A. That is the UnixWare branch revenue up there. Again, the only way you can get System V code license company is through UnixWare.
Q. Let's go back to Page 31. Go back one page.
In the Q how you describe products revenue is:
Our products revenue consists of software licenses of our UNIX products primarily OpenServer and UnixWare.
Correct?
A. Okay.
Q. We go to the next page, Paragraph 32, this UnixWare revenue line does not include the Sun or Microsoft licenses, the revenue from those licenses; right?
A. No; because it was trunk revenue, not branch revenue. This is referring to branch revenue.
Q. And again, branch revenue is the derivative works including OpenServer and UnixWare; correct?
A. Yes.
Q. And the trunk is the core UNIX IP; correct?
A. I believe you keep trying to shift my words on this. If we go back to the very beginning, I believe what I said very clearly and I said a number of times here is that UnixWare runs throughout the entire tree, okay. It runs throughout the entire tree. So I know you're trying to catch me saying things the wrong way here, but let me come back to the same statement, that UnixWare runs through the entire tree. UnixWare is also a branch. Any time we're talking about the core licensing of the code that's running through the branch, the trunk, it's always going to be through
UnixWare licensing.
Just look at the list. SCO wanted SCOsource not to be about Unix System 5, so it doesn't have to pay Novell or ask permission. The Utah judge bought their argument, and with regard to the SCOsource licenses that were not Sun or Microsystems, he viewed SCOsource as a promise not to sue, not a license for software. Novell did not appeal that aspect of the order. Why does it matter? Because it's now clear SCO intends to sue Linux users some more, if it can find a financial way. If this sale is approved, they may have found a way. If, however, the appeals court sends the case back to a jury, this issue may be addressable. It's almost enough to make me hope that happens.
Update: Get a load of the very last page of this humongous collection of exhibits, Schedule 8.8, Sublease and Subcontract, which reads like this:
Contracts to be designated by Purchaser in its sole discretion following the entry of the Sale Order.
*After* the sale order??? Then we find out? SCO, consistent to the end.
[Update 2: The list of litigation is not complete, I don't think, on page 57. It's an appalling list, of course, with 13 court matters, but it's still not the entire story. I'll check, but I don't see at least one litigation in Germany on the list, maybe two. But the real question is: who pays these individuals and entities when they win against SCO? You may say, well, that is what bankruptcy is for and that you can't get blood from a stone. However, it's quite another thing if the bankrupt has assets, which it is proposing to sell off without paying the creditors or arranging an escrow pool or anything at all, in effect sending all the blood to the new owner, without also sending the litigation, in effect taking away all hope of making the injured folks whole again. Nice work if you can get it, as the song says, but it's a real problem someone is bound to raise, because it's so unfair, on its face, a child can see the problem. In effect, SCO is saying it wishes to continue to sue, but it would like to escape all responsibility for any harm caused by its litigation. That isn't how the system is supposed to work. But sometimes it does anyway. Note that this is the same issue that came up in the GM bankruptcy, as explained by the Bankruptcy Litigation Blog's Steve Jakubowski : Well, Howard's rant is what a lot of panicked plaintiffs' lawyers involved in cases against GM are screaming these days as they watch years of toil on behalf of people seriously injured by defective GM products (like crushed roofs, exploding "side saddle" gas tanks, and collapsing seat backs) potentially go for naught as GM makes its grandest attempt ever to crush an entire class of former customers (presumably including anybody who buys a GM car between now and the closing date of the sale) and existing and future products liability claimants (including those who haven't even been injured yet!) in a sale that many plaintiffs lawyers of record only received written notice of in the past couple of days.
Those following this blog know my rising concern (even anger) over how products liability claimants were completely stiffed in Chrysler, so much so that Howard's famous rant came to mind!
So, I decided to do something about it, and officially stepped into the fray by filing this Objection to the GM Sale [PDF] and this
Memorandum in Support [PDF]. On the brief with me is Public Citizen's Adina Rosenbaum and Allison Zieve, counsel for the Center for Auto Safety, Consumer Action, Consumers for Auto Reliability and Safety, National Association of Consumer Advocates, and Public Citizen.

In the GM bankruptcy, they did win, and GM will remain liable for claims. We'll see about SCO. I expect them to argue that their sooper dooper iPhone app with Franklin Covey will pay off claims. I hope the creditors insist on proof that SCO is now or ever has or ever will make enough from that to pay off even one creditor, let alone all of them. - End Update 2.] So, here's the text version. Update 3: Now that we have finished the text of the IP list, it might be wise to check the list more carefully than SCO seems to have done. For example, a reader noticed that it lists a trademark for WEBMIN, however when I checked it at the USPTO, I find it is cancelled as of January of this year:

EXCLUDED ASSETS
"Excluded Assets" shall mean the following assets of Sellers and the purchased Subsidiaries:
(a) any cash, cash and other deposits and cash equivalents held by Sellers or any Purchased Subsidiary at the time of the
Closing (and interest or earnings thereon);
(b) any accounts and accounts receivable of any Seller or Purchased Subsidiary for or with respect to any periods ending before the Closing Date;
(c) except with respect to each Purchased Subsidiaries the Equity Interests of which are included in the Purchased Assets, any refunds, rebates, credits, loss allocations and losses for Taxes (and all
related rights and claims) for any tax-reporting periods (or portions thereof) ending on or before the
Closing Date, and including and any interest due thereon or penalty rebate arising therefrom;
(d) SCO Group's Equity Interests in its Subsidiary other than the Purchased Subsidiaries;
(e) any Contracts of Sellers and the Purchased Subsidiaries other than the Assumed Contracts;
(f) Any (i) confidential personnel and medical records pertaining to any
Employees not set forth on Exhibit G; (ii) other books and records relating solely to the Excluded Assets or that Sellers or the Purchased Subsidiaries are required by Law to retain or that Sellers determine are necessary or
advisable to retain including, without limitation, Tax returns, financial statements, and corporate or
other entity filings; provided, however, that Purchaser shall have, to the extent allowed by applicable
Law, the right, before and after the Closing, to make copies of any portions of such retained books and records that relate to the
Business or any of the Purchased Assets; (iii) information management systems of Sellers, other than
those used or useful in the conduct of the Business; (iv) minute books, stock or membership interest

Interests by Persons other than Purchaser;
(g) all Sellers' rights under this Agreement, including without limitation, the Purchased Price;
(h) any Actions of Sellers arising under Bankruptcy Code Sections 506, 544-553,
inclusive;
(i) Me Inc. infrastructure, including the me-inc.com domain and the contract with Franklin Covey;

POST-CLOSING ESCROW AGREEMENT
POST-CLOSING ESCROW AGREEMENT, dated as of [Closing Date], among UNXIS, INC., Delaware corporation ("Purchaser"), THE SCO GROUP, INC., a Delaware corporation ("Seller"), and BERGER SINGERMAN, P.A. (the "Escrow Agent").
Recitals
A. As of the date hereof and pursuant to the Purchase and Sale Agreement, dates as of June ____, 2009 (the "Purchase"), among Purchaser, Seller, SCO Operations, Inc., and SCO Global, Inc., Purchaser has purchased from Sellers and Sellers have sold to Purchaser the Purchased Assets on the Closing Date. Capitalized terms not otherwise defined herein shall have the respective meanings seet forth in the Purchase Agreement.
B. Pursuant to Section 3.3 of the Purchase Agreement, Sellers and Purchaser have agreed to deposit with the Escrow Agent the Letter of Credit-Sun (the "Escrow Document") concurrently with the Closing.
C. The Escrow Agent is willing to act as escrow agent pursuant to the terms of this Agreement with respect to the Escrow Document.
NOW, THEREFORE, IT IS AGREED:
1. On the date hereof, Purchaser has delivered the Escrow Document to Escrow Agent, receipt of which is hereby acknowledged by Escrow Agent, which Escrow Agent shall hold and disburse pursuant to the terms of this Agreement.
2. The Escrow Agent shall hold the Escrow Document and shall not deliver the Escrow Document to any party other than (a) pursuant to Paragraph 3, (b) pursuant to written instructions executed and delivered to the Escrow Agent by Seller and Purchaser or (c) by depositing the Escrow Document with a court of competent jurisdiction in accordance with the provisions of paragraph 7 hereof or with a successor escrow agent in accordance with the provisions of paragraph 7 hereof.
3. (a) If at any time after the date h ereof and on or before August 31, 2009, the District Court Sun Agreement Judgment is affirmed in whole or in part by the Appeals Court as a result of the Appeal, Seller may deliver written notice to the Escrow Agent (i) authorizing and directing the Escrow Agent to draw on the Escrow Document on behalf of and in the name of Seller, (ii) setting forth the amount to be drawn, (iii) certifying that such amount is the amount required to satisfy such payment obligation to Novell determined in the Appeal, and (iv) certifying that a copy of such written notice to the Escrow Agent is being delivered to Purchaser concurrently with the delivery to the Escrow Agent. If the Escrow Agent does not receive on or before the twentieth day following delivery of the written notice to the Escrow Agent a written notice of objection (the "Objection Notice") from Purchaser, which Objection Notice, among other things, may set forth that Purchaser is electing to require Seller to seek further appellate review of such ruling of the Appeals Court in accordance with Section 3.3 of the Purchase
Agreement, the Escrow Agent shall be authorized to so draw on the Escrow Document to the extent provided in such written notice. If the Escrow Agent receives the Objection Notice within such 20-day period, it shall continue to hole the Escrow Document and not distribute the same except pursuant to paragraph 2(b) or (c) hereof.
(b) If at any time after the date hereof and on or before August 31, 2009, the District Court Sun Agreement Judgment is reversed and/or remanded in whole or in part by the Appeals Court as a result of the Appeal, then the Escrow Agent shall continue to hold the Escrow Document and not distribute the same except pursuant to paragraph 2(b) or (c) hereof.
(c) Seller and the Escrow Agent hereby acknowledge and agree that the right or obligation of Seller and the Escrow Agent in the name of and on behalf of Seller to draw on the Escrow Document and use the monies so drawn is subject to the terms and conditions of Section 3.3 of the Purchase Agreement.
4. It is agreed that the duties and obligations of Escrow Agent are only such as are herein specifically provided and no other. Escrow Agent's duties are as a depository only, and Escrow Agent shall incur no liability whatsoever, except for its willful misconduct or gross negligence. Escrow Agent may consult with counsel of its choice, and shall not be liable for any action taken, suffered or ommitted by it in accordance with the advice of such counsel. Escrow Agent shall not be bound in any way by any other terms of any other agreement to which Sellers and Purchaser are parties, whether or not Escrow Agent has knowledge thereof, and Escrow Agent shall not in any way be required to determine whether or not any other agreement has been complied with by Sellers or Purchaser or any other party thereto. Escrow Agent shall not be bound by any modification, amendment, termination, cancellation, rescission or supersession of this Agreement unless the same shall be in writing and signed jointly by Sellers and Purchaser and agreed to by Escrow Agent. In the event that Escrow Agent shall be uncertain as to its duties or rights hereunder or shall receive instructions, claims or demands which, in its opinion, are in conflict with any of the provisions of this Agreement, it shall be entitled to refrain from taking any action other than to keep safely, all property held in escrow until it shall jointly be directed otherwise in writing by Sellers and Purchaser or by a final judgment of a court of competent jurisdiction.
5. Escrow Agent is fully protected in relying upon any written notice, demand, certificate or document which it, in good faith, believes to be genuine.
6. Escrow Agent shall not be required to institute legal proceedings of any kind and shall not be required to defend any legal proceedings which may be instituted against it.
and Purchaser. Upon such delivery, Escrow Agent shall be discharged from any and all further responsibility or liability with respect to the Escrow Document except as herein provided.
8. The Escrow Agreement shall not create any fiduciary duty on Escrow Agent's part to Sellers or Purchaser or any of their respective affiliates, nor disqualify Escrow Agent from continuing to represent Sellers or any of their affiliates in bankruptcy or generally or in any dispute or transaction or other matter with Purchaser or any of its affiliates including, without limitation, any dispute with respect to the Purchase Agreement or this Agreement.
9. The out-of-pocket expenses paid or incurred by Escrow Agent in the administration of its duties hereunder including, but not limited to, all counsel and advisors' and agents' fees including, without limitation, counsel fees under paragraph 4 hereof, and all taxes or other governmental changes, if any, shall be paid jointly and severally by Sellers and Purchasers.
10. Sellers and Purchaser, jointly and severally, hereby indemnify and hold Escrow Agent harmless from and against any and all loss, damage, tax, liability and expense that may be incurred by Escrow Agent hereunder, or the performance of its duties pursuant to this Agreement, including all legal costs and expenses of Escrow Agent defending itself against any claim or liability in connection with its performance hereunder.
11. All notices, requests, demands and other communications hereunder shall be in writing, with copies to all the other parties hereto, and shall be deemed to have been duly given (i) when delivered, if by hand, (ii) when delivered, if sent by Federal Express or other overnight courier service, or (iii) five days after the mailing thereof by first class registered or certified mail, return receipt requested, postage prepaid, as follows: (a) if to Purchaser, to unXis, Inc., c/o MerchantBridge & Co., Ltd., Knowsley House, [address] Attention Eric Le Blan, with a copy to Bryan Cave LLP, [address], Attention: Alan S. Pearce, Esq., (b) if to Sellers, to The SCO Group, Inc., [address], Attention: Mr. Jeffrey F. Hunsaker, with a copy to Berger Singerman, P.A., [address], Attn: Arthur J. SPector, Esq., and (c) if to Escrow Agent, to Escrow Agent, to Berger Singerman, P.A., [address], Attention: Arthur J. Spector, Esq., or in any case to such other address as a party may determine by delivery of notice pursuant to this paragraph 11.

Below are drafts of the standard terms and conditions of warranty that is used by SCO Group:
OEM Agreement
SCO WARRANTS THAT IT IS EMPOWERED TO GRANT THE RIGHTS GRANTED HEREIN. SCO DOES NOT WARRANT THAT THE FUNCTION CONTAINED IN SCO SOFTWARE LICENSED PRODUCT WILL MEET OEM'S OR ANY USER'S REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR FREE. SCO WARRANTS THAT SCO SOFTWARE LICENSED PRODUCT SUBSTANTIALLY CONFORMS AND WILL PERFORM TO THE SPECIFICATIONS AND FUNCTIONAL DESCRIPTIONS CONTAINED IN THE PERTINENT DOCUMENTATION; AND THAT THE REPRODUCTION OF THE SOFTWARE ON THE MEDIA MATERIAL PROVIDED BY SCO IS CORRECT. PROVIDED OEM NOTIFIES SCO OF ANY NONCONFORMANCE WITHIN NINETY (90) DAYS OF OEM'S RECEIPT OF SCO SOFTWARE LICENSED PRODUCT, SCO SHALL AT ITS SOLE DISCRETION EITHER 1) REPAIR NONCONFORMING SCO SOFTWARE LICENSED PRODUCT, 2) REPLACE THE NON-CONFORMING SCO SOFTWARE LICENSED PRODUCT, OR 3) ACCEPT RETURN OF SAME AND REFUND OR CREDIT ANY FEES PAID BY OEM FOR SUCH RETURNED SCO SOFTWARE LICENSED PRODUCT.
SCO PROVIDES, TO END USERS ONLY, WARRANTIES FOR SCO SOFTWARE LICENSED PRODUCTS AS STATED IN THE SCO SOFTWARE LICENSE AGREEMENT THAT ACCOMPANIES EACH SCO SOFTWARE LICENSED PRODUCT. ANY SCO SOFTWARE LICENSED PRODUCT DELIVERED IN PACKAGING CONTAINING A LICENSE AGREEMENT THAT INDICATES THAT THE LICENSOR IS OTHER THAN SCO, IS DEEMED TO BE PROVIDED BY SCO SOLELY ON AN "AS IS" BASIS, WITHOUT WARRANTY FROM SCO, AND IS WARRANTED BY THE NAMED LICENSOR SOLELY TO THE EXTENT THAT THE PACKAGING, OR ACCOMPANYING BREAK-THE-SEAL LICENSE AGREEMENT, IF ANY, EXPRESSLY STATES A WARRANTY.
OEM IS NOT AUTHORIZED TO MAKE ANY WARRANTY COMMITMENT ON SCO'S BEHALF, WHETHER WRITTEN OR ORAL, OTHER THAN THOSE CONTAINED IN THE APPLICABLE STATEMENT OF LIMITED WARRANTY OR SOFTWARE LICENSE AGREEMENT.
German/Euro OEM Agreement (Local law requires a one year warranty period)
SCO WARRANTS THAT IT IS EMPOWERED TO GRANT THE RIGHTS GRANTED HEREIN. SCO DOES NOT WARRANT THAT THE FUNCTION CONTAINED IN SCO SOFTWARE LICENSED PRODUCT WILL MEET OEM'S OR ANY USER'S REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED. SCO WARRANTS THAT SCO SOFTWARE LICENSED PRODUCT CONFORMS AND WILL

PROVIDED OEM NOTIFIES SCO OF ANY NON-CONFORMANCE WITHIN ONE (1) YEAR OF OEM'S RECEIPT OF SCO SOFTWARE LICENSED PRODUCT, SCO SHALL AT OEM'S OPTION EITHER 1) REPAIR NON-CONFORMING SCO SOFTWARE LICENSED PRODUCT OR REPLACE THE NON-CONFORMING SCO SOFTWARE LICENSED PRODUCT (SCO MAY CHOOSE BETWEEN THESE ALTERNATIVES OF THIS OPTION 1)); OR 2) ACCEPT RETURN OF SAME AND REFUND OR CREDIT ANY FEES PAID BY OEM FOR SUCH RETURNED SCO SOFTWARE LICENSED PRODUCT. THE LIABILITY IN THE CASE OF BREACH OF WARRANTY IS LIMITED AS STATED IN SECTIONS 9 AND 8.
Reseller Agreement
ALL SCO LICENSED PRODUCTS DELIVERED ARE DELIVERED 'AS IS', FOR THE AVOIDANCE OF DOUBT. IT IS DECLARED THAT ALL WARRANTIES CONCERNING THE QUALITY OF THE LICENSED PRODUCTS WHICH MIGHT OTHERWISE BE IMPLIED, INCLUDING THE STATUTORY IMPLIED TERMS OF MERCHANTABILTY OR FITNESS FOR PURPOSE, ARE EXCLUDED. SCO DOES NOT REPRESENT OR WARRANT THAT ANY LICENSED PRODUCT IS ERROR FREE OR THAT ITS USE WILL BE UNINTERRUPTED. NO WARRANTIES ARE MADE TO RESELLER BY ANY SUPPLIERS WHICH MAY HAVE DIRECTLY OR INDIRECTLY SUPPLIED PART OF LICENSED PRODUCT TO SCO.
Corporate Software Agreement (Major Account)
SCO does not warrant that the function contained in Licensed Product will meet Company's requirements or that its operation will be uninterrupted or error free. SCO warrants that Licensed Product substantially conforms to the specifications and functional descriptions contained in the pertinent documentation; that the reproduction of the software on the media material provided by SCO is correct; and that the documentation is correctly printed to SCO's standard at the time of execution of the Agreement. Provided Company notifies SCO of any non-conformance within ninety (90) days of Company's receipt of the non-conforming Licensed Product, SCO shall at its sole discretion 1) repair the non-conforming Licensed Product, 2) replace the non-conforming Licensed Product, or 3) accept return of same and refund or credit any fees paid by Company for the returned non-conforming Licensed Product.
Further, SCO warrants the SCO supplied media on which the SCO software component of the Licensed Product resides to be free from defects in material and workmanship under normal use for a period of ninety (90) days from date of delivery, and shall at its sole discretion either 1) repair the defective media. 2) replace the defective media, or 3) accept return of same and refund or credit any fees paid by Company for such returned Licensed Product.
EXCEPT AS PROVIDED HEREIN, LICENSED PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Vertical Solution Provider Agreement (VSP)
SCO does not warrant that the function contained in Licensed Product will meet VSP's or any Customer's requirements or that its operation will be uninterrupted or error free. SCO warrants that Licensed Product substantially conforms to the specifications and functional descriptions contained in the pertinent documentation; and that the reproduction of the software on the media material provided by SCO is correct; and that the documentation is correctly printed to SCO's standard at the time of execution of this Agreement. Provided VSP notifies SCO of any nonconformance within ninety (90) days of VSP's receipt of Licensed Product, SCO shall at its sole discretion either 1) repair nonconforming Licensed Product, 2) replace the non-conforming Licensed Product, or 3) accept return of same and refund or credit any fees paid by VSP for such returned Licensed Product.
Further, SCO warrants the SCO supplied media on which the SeQ software component of the Licensed Product resides to be free from defects in material and workmanship under normal use for a period of ninety (90) days from date of delivery by VSP to VSP's customer, not to exceed one hundred and twenty (120) days from SeQ's shipment to VSP, and shall at its sole discretion either 1) repair the defective media, 2) replace the defective media, or 3) accept return of same and refund or credit any fees paid by VSP for such returned Licensed Product.
EXCEPT AS PROVIDED HEREIN, LICENSED PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FIlNESS FOR PARTICULAR PURPOSE.
SCO MAKES NO WARRANTY DIRECTLY TO END USER CUSTOMERS.
Distributor Agreement
SCO does not warrant that the function contained in Licensed Product will meet Distributor's or any Customer's requirements or that its operation will be uninterrupted or error free. SCO warrants that Licensed Product substantially conforms to the specifications and functional descriptions contained in the pertinent documentation; and that the reproduction of the software on the media material provided by SCO is correct; and that the documentation is correctly printed to SCO's standard at the time of execution of the Agreement. Provided Distributor notifies SCO of any non-conformance within ninety (90) days of Distributor's receipt of Licensed Product, SCO shall at its sole discretion either 1) repair nonconforming Licensed Product, 2) replace the non-conforming Licensed Product, or 3) accept return of same and refund or credit any fees paid by Distributor for such returned Licensed Product.
Further, SCO warrants the SCO supplied media on which the SCO software component of the Licensed Product resides to be free from defects in material and workmanship under normal use for a period of ninety (90) days from date of delivery by Distributor to Distributor's customer, not to exceed one hundred and twenty (120) days from SCO's shipment to Distributor; and shall at its sole discretion either 1) repair the defective media, 2) replace the defective media, or 3) accept return of same and refund or credit any fees paid by Distributor for such returned Licensed Product.
EXCEPT AS PROVIDED HEREIN, LICENSED PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE.
SCO MAKES NO WARRANTY DIRECTLY TO END USER CUSTOMERS.
Software License Agreement (End User License Agreement)
SCO warrants that upon Your receipt of the Product and for a period of 90 calendar days thereafter, the media, if any, on which the Software is embedded will be free of defects in material and workmanship under normal use. SCO does not warrant that (i) the Software and any related Updates will be free of defects, (ii) the Software will satisfy all of Your requirements or (iii) the use of the Software will be uninterrupted or error-free. In case of breach of warranty related to the quality of the media, You must return at Your expense and no later than 10 days after the expiration of the warranty period, the Product to SCO or its local authorized representative, together with a copy of Your dated Proof of Purchase. SCO or its representative will replace any defective media, or if not practicable, may terminate this Agreement and refund to You the amount paid for the Product. You acknowledge that this Paragraph sets forth Your exclusive remedy and SCO's exclusive liability for any breach of warranty or other duty related to the quality of the Product.
Engineering Services Agreement
SCO WARRANTS THAT: (i) IT HAS THE UNRESTRICTED RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT, (ii) IT HAS THE KNOWLEDGE, EXPERIENCE AND SKILL TO PROVIDED THE SERVICES, AND (iii) SERVICES HEREUNDER WILL BE PERFORMED IN A MANNER IN ACCORDANCE WITH ANY STATUTES, REGULATIONS, ORDINANCES OR CONTRACTS APPLICABLE TO THE SERVICES COVERED HEREBY INCLUDING, BUT NOT LIMITED TO, ALL LAWS AND REGULATIONS PERTAINING TO WAGES AND HOURS OF EMPLOYMENT, SOCIAL SECURITY, UNEMPLOYMENT, WORKERS COMPENSATION AND WITHHOLDING TAXES. SCO AGREES TO CARRY OUT THE SERVICES REQUIRED TO BE PROVIDED BY IT UNDER THIS AGREEMENT WITH REASONABLE CARE AND SKILL. SCO DOES NOT REPRESENT OR WARRANT THAT ANY SUPPORTED PRODUCT IS ERROR FREE OR THAT ITS USE WILL BE UNINTERRUPTED OR THAT SCO WILL BE CAPABLE OF CORRECTING DEFECTS, OR THAT SCO WILL BE ABLE TO RENDER THE SUPPORTED PRODUCT CAPABLE OF PERFORMING ANY PARTICULAR FUNCTION. NO WARRANTIES ARE MADE TO COMPANY BY ANY SUPPLIERS WHICH MAY HAVE DIRECTL Y OR INDIRECTLY SUPPLIED PART OF SUPPORTED PRODUCT TO SCO. ALL SOFTWARE SUPPLIED BY SCO IN CONNECTION WITH THIS AGREEMENT SHALL BE SUBJECT TO THE TERMS OF THE LICENSE AGREEMENT GOVERNING THE SUPPLY OF THE SUPPORTED PRODUCT. NEITHER PARTY SHALL BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF BUSINESS OR GOODWILL, LOSS OF USE OR OF DATA, INTERRUPTION OF BUSINESS, NOR FOR INDIRECT, SPECfAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND UNDER OR ARISING OUT OF THIS AGREEMENT, HOWEVER CAUSED, WHETHER FOR BREACH OF WARRANTY, BREACH OR REPUDIATION OF CONTRACT, TORT NEGLIGENCE OR OTHERWISE EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS. SCOtS LIABILITY UNDER OR ARISING OUT OF THIS AGREEMENT SHALL BE LIMITED TO REFUND OF THE CHARGES MADE UNDER THIS AGREEMENT. NO CLAUSE OF THIS AGREEMENT SHALL BE CONSTRUED AS PURPORTING TO RESTRICT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY DUE TO NEGLIGENCE.
TEAM Services Agreement
SCO AGREES TO CARRY OUT THE SERVICES REQUIRED TO BE PROVIDED BY IT UNDER THIS AGREEMENT WITH REASONABLE CARE AND SKILL. SCO DOES NOT REPRESENT OR WARRANT THAT ANY SUPPORTED PRODUCT IS ERROR FREE OR THAT ITS USE WILL BE UNINTERRUPTED OR THAT SCO WILL BE CAPABLE OF CORRECTING DEFECTS, OR THAT SCO WILL BE ABLE TO RENDER THE SUPPORTED PRODUCT CAPABLE OF PERFORMING ANY PARTICULAR FUNCTION. NO WARRANTIES ARE MADE TO COMPANY BY ANY SUPPLIERS WHICH MAY HAVE DIRECTLY OR INDIRECTLY SUPPLIED PART OF SUPPORTED PRODUCT TO SCO. ALL SOFTWARE SUPPLIED BY SCO IN CONNECTION WITH THIS AGREEMENT SHALL BE SUBJECT TO THE TERMS OF THE LICENSE AGREEMENT GOVERNING THE SUPPLY OF THE SUPPORTED PRODUCT. Professional Services Agreement
SCO warrants that:
SCO has the unrestricted right, power, and authority to enter into this AGREEMENT.
SCO has the knowledge, experience, and skill to provide the SERVICES, and will perform the SERVICES with reasonable care and skill in accordance with accepted industry standards.
SCO will re-perform the SERVICES to remedy any breach warranty. If SCO is unable to reperform the SERVICES as warranted, the CLIENT will be entitled, as its exclusive remedy, to recover the fees paid to SCO for that portion of the SERVICES which is deficient.
Custom Engineering Agreement
SCO and Client each warrants that each has the unrestricted right, power, and authority to enter into this Agreement.
Client shall secure and maintain for and on SCO's behalf any required third party licences to complete the Services.
Services performed hereunder will be performed in a manner in accordance with any statutes, regulations or ordinances applicable to the Services covered hereby including, but not limited to all laws and regulations pertaining to wages and hours of employment, social security, unemployment, Workers Compensation and withholding of taxes.
SCO warrants that the Work Product has been produced substantially in accordance with the applicable SOW.
WARRANTY DISCLAIMER. SCO DOES NOT WARRANT OR REPRESENT THAT THE WORK PRODUCT IS FREE OF ERRORS, THAT THE WORK PRODUCT, OR SOURCE CODE THEREOF, IS SUITABLE FOR PORTATION, TRANSLATION AND/OR SERVICES. SCO HAS NO OBLIGATION TO CORRECT ERRORS OR TO SUPPORT THE WORK PRODUCT, OR SOURCE CODE THEREOF, UNDER THIS AGREEMENT AFTER COMPLETION BY SCO AND ACCEPTANCE BY CLIENT OF THE WORK PRODUCT. I think the question of value, as always, depends very much on your point of
view.
If you were a new customer then it is probably true that anything of value would
be in UnixWare and the System V licences would be unimportant.
(Of course, anyone migrating /to/ SCO at this point in the game would have to be
out of their mind, but please bear with me.)
If, however, you were an existing customer with a working System V installation
that you don't want to change, then SCO's ability to support it, and even sell
the odd new licence for it, could be very important to you (and therefore of
value to SCO or its successor).

The list "Operating System Products" appears to be a union of the
Novell/Santa Cruz APA Schedule 1.1(a)(I) Binary Product Releases and
1.1(a)(VI)SVRX Licenses (which, as has been pointed out by SCO, is a list of
products, not licenses), although there is no distinction between source code
and binary versions of the products.
The list "Auxiliary Products" looks to be copied verbatim from

By now, the GNU/GCC compiler is almost a standard in the *nix world. Did an does
System V have its own compilers? I noted the lines listing:
" C Compilation System for Motorola 68000
C Optimized Compilation System for UNIX System V 386/486 "
I guess there are two questions there, I think I know the answer to the fist,
simply because System V predates Linux, it would of course have it's own C (C++
etc...) compilers, but does it still maintain its own compilers?
Why would anyone use such an ancient compiler as a System V compiler? Even Mac
OS X based on the relatively "free" FreeBSD-lite 4.3 (?) has used the
gcc compiler since its inception.

Hard to believe anyone would still want to buy one of those! And several of
them can be freely downloaded from the internet.
E.g. 'CFRONT 1.2'.
According to Wikipedia, Cfront
was abandoned after 4.0. So version 1.2 is almost prehistoric. You can download
version 1.0 and 3.0 from the Software Preservation Group of
the Computer History Museum. This
speaks volumes about the value as a product. :-)
And 'XWIN Graphical
Windowing System Release 4.0 '. I'm guessing this refers to X10R4 or X11R4. Even the latter
was released almost 20 years ago, and which you can also download from the
internet. The SCOG does not own the copyright to this

A lot of very old stuff there, much of it last century. Didn't see anything post
2003, no money for replacements, signals of company on the rocks. I would have
thought most of this would have been depreciated to $0 by the accountants long
ago given that IT typically has around a 3 year life. Can't be worth much to the
buyers.

It _might_ be speculation that much of this might not be worth anything,
except to someone happily deploying/maintaining old business critical
systems if it were not for this:

You cannot buy a 3B2 or i860 processor anymore, sure. But it's very clear
that there are not anywhere close to enough of those still running (if any) to
make these products have commercial value. What's more, SCO can't test or
support the products, they don't list a 3B2 or i860 machine in the assets that

This does not conflict with Darl's testimony that the Unix
System V products are basically worthless. The exhibits are a list of assets.
They have to list all the company's assets, that somebody might buy. For
example, the list includes a floppy-disk replicator. Since nobody (AFAIK)
replicates floppy disks anymore, this thing is surely worth less than the time
somebody spent typing it into the document. (Maybe its value is negative, since
somebody will have to spend time taking it to a trash pickup). But who knows,
somebody might buy it, so it's on the list. Same with the Unix System V OS

E.g. can the purchaser write in the contract that he has to
pay only $1 for SCO?
Can the purchaser write in the contract that he will pay $X
for SCO but if some event will not happen (e.g. SCO wins the
lottery), then SCO will have to pay him back, in highest

True, but that's a bit like not being able to buy Windows XP directly, and
instead having to purchase Vista-whatever and downgrade.
I'm sure that MS would claim that there is little or nothing of value in XP that
isn't also in Vista, and in a narrow sense that's probably true - but a good two
thirds of their customers have chosen to stick with XP, and I think it would be
fair to say that many of them value XP much more highly than Vista.

Take a look at the serial number for System Number 3850 in Exhibit C. Excel
strikes again.
This probably started out as 00401000E9, or possibly 0040100E10. There's also

When I first read that, I too was dumbfounded.
But upon further reflection I think this may be
referring to the arrangements for the various places
where SCOG has been doing business. Basically the
buyers may decide to either carry on in those same
premises, or may make alternate arrangements.
This might even vary by location ... some offices
may be closed, others retained .... etc, etc, etc.
If indeed this is what is being referred to, then after
the deal might be done, at discretion of buyer would

The point of chapter 11 is for the business to emerge from the end with a
functioning company.
The proposed sale does not leave SCOX as a functioning company. With neither
assets nor products the sale leaves SCOX with nothing. There is no reason for a
chapter 11 sale as there will be no functioning company to emerge from chapter
11.
Only a lawsuit target will remain that has managed to shed all assets. Yet
remain a liability for those engaged in the lawsuits.
I really expect the IBM lawyers to rip into this. This is not what the
bankruptcy protections are for and if SCO wants to use the bankruptcy court to
do this then it appears as though SCO is abusing the bankruptcy process. [ Reply to This | # ]

This is one of those arguments that is simple, easy to understand, and fair.
SCO knows the sale is unfair to anyone they have wronged and can't deny it

I see the list of products in EXHIBIT B. They are called products. They are not
called copyrights. So what is being sold? Is it the business associated with the
products, like in the APA between oldSCO and Novell? Or is it the whole thing
including copyrights?
Obviously this depends on the Novell litigation. SCOG can't sell copyrights
owned by Novell. I mean assuming SCOG holds some copyrights, are they being sold
to unXis?
What does this mean for current and future litigation? Can SCOG even sue without
the copyrights?
