Angel Partners Renewed by Yarro on Dec. 17, 2004

If you search the Utah Department of Commerce Business Entity Search for "Angel Partners" (no quotes; or search by Entity: 3104492-0140), you will find that Ralph Yarro renewed the registration for Angel Partners, Inc., with himself as the Registered Agent and only Principal, on December 17, 2004. That is the day he was fired from Canopy. You will also note that the original registration date was February 2, 2000, which would imply that no renewal would be required until February. And in fact, it lists the "Delinquent Date" as February 2, 2006. Here's the status info:

Status Description: Good Standing
This Status Date: 02/02/2000
Last Renewed: 12/17/2004
License Type: Corporation - Domestic - Non-Profit
Delinquent Date: 02/02/2006

This would mean that any communications regarding Angel Partners would have to go to him. If you pay, chrisbrown informs us, you get the names of the other principals on record: President and Registered Agent, Ralph Yarro; Secretary, Brent Christensen; Trustees, Clinton R. Gurney, Ralph Yarro, Terry Peterson.

stats_for-all helpfully reminds us that Terry Peterson is specifically named as the Noorda financial advisor that Yarro et al allege in their complaint [PDF] influenced Val Noorda Kreidel and Leweena Noorda to move against Yarro. Mr. Peterson is, in fact, one of the named defendantts in that action, and the allegations Yarro, Mott and Christensen list regarding Mr. Peterson can be found beginning on page 20 of the complaint.

As we learned in the Canopy complaint against Mr. Yarro, Angel Partners is one of two nonprofits that are the principal beneficiaries of the Noorda Family Trust, and it would immediately receive all of the Noorda Family Trust's shares in Canopy Group on the death of Mr. and Mrs. Ray Noorda.

PJ, i believe you meant Dec 17, 2004 =)

this is almost too twisted to believe--not that i'm doubting PJ's reporting!!

so yarro had some knowledge he was gonna get ousted; while he still had power,
he went over and assured himself of receiving the noorda's money by officially
changing ownership of one of the nonprofits to be... himself?! to quote
_clerks_: "what a scumbag."

why didn't this show up in the complaint against him? (or, did it, and i just
missed it in the copious volume of SCO court docs over the last week =)

rock on PJ. were you just researching angel partners when you stumbled across
this, or did you get a tip??

liars, thieves and claim jumpers.

This makes Bre-X (gold mining fraud of a few years ago) pale by comparison.

Yarro opponent Peterson was a trustee

Terry Peterson who is named by Yarro as his bete noir in the Canopy suits
was one of three trustees of Angel Partners.

Principal information for Angel Partners, Inc downloaded ( Jan 26, 2005) from
Utah Business Entity Search has the following listing.

Angel Partners, Inc
Entity Number:
3104492-0140
First registered 2/2/2000

Yarro is President
Christensen is Secretary
*Clinton R. Gurney is Trustee
Ralph Yarro is Trustee
**Terry Peterson is Trustee

*Gurney is LDS Human Resources director in Salt Lake City.
**Peterson is a defendant named by Yarro in his complaint against Noorda, et
al. Peterson uses an office building at: 3550 N UNIV AVE, STE 375, Provo UT
84604 as an address.

Yarro explicitly names Peterson as the Noorda financial advisor that
influenced Val Kreidel and Leweena Noorda to move against Yarro. Yarro
claims the motivation was the transfer of Canopy cash accounts away from
Peterson's management.

Who runs the NFT and does it still plan to send anything to Angel Partners upon
Death of Noordas.

Also not that the registered agent receives legal notice not the actual funds,
stock or whatever. But by the list of officers he is obviously in control of
AP.

I grew up on a farm - there's only only one thing that stinks like this - it's
an animal byproduct, you get three guesses, and the first two don't count.

Now what would be really interesting is:

1) To see the Angel Partners listing from before Dec. 16, 2004.

2) To know if Yarro renewed it before or after the stockholder meeting.

3) To know if the Noorda's were aware of this, and if not what their reaction
was when told.

4) To know if the Noorda's have changed their wills since Dec. 17, 2004.

Some of this isn't really our business, however I have no doubt that it will end
up coming out in court, and I can't wait to hear Yarro's justifications for the
renewal in that form. Since the goverment office which handles such things
probably logs the time that changes/renewals are handled he may have to come up
with a really entertaining explanation!

Who is Ralph Yarro?

This is a bio from 2003

Ralph servers as Chairman of the Board of Trustees of Angel Partners, a 501(c)3
support organization for the Church of Jesus Christ of Latter-Day Saints. He is
also a Trustee for the Noorda Family Trust, the Scenic View Center, and the
Worth of a Soul Foundation. He is the Chairman of the Board of Directors of
Altiris, AP Software, Caldera Systems, Center 7, Coresoft, and Helius. He sits
on the Board of Directors for: the Canopy Group, 2NetFX, Arcanvs, Cogito,
DataCrystal, Expressware, Global Prime, The Guy Store, HomePipeLine, iBase
Systems, Interworks, Lineo, MTI, ManageMyMoney, Nombas, Profit Pro,
RecruitSearch, Troll Tech and TugNut."

Quite a busy person! And apparently he was a former graphic artist who worked
on video games prior to working with Noorda and he became President of Canopy
around the age of 30 if I'm not mistaken.

What ever happened to Worth of a Soul foundation?

Canopy Group Address

Just noticed that the address for Ralph Yarro in the Angel Partners listing is
that of the Canopy Group offices in Linden.

Now he could use mail forwarding, however in Canada they changed the rules so
that government documents would NOT be forwarded as a protection against
identity theft. I don't know if any U.S. jurisdictions have adopted that yet.

And of course there's the question of what the company's responsibilities are to
your mail?

Angel Partners SEC filing from 2003

In an SEC filing dated Oct. 23, 2003, Angel Partners announced its intention to
sell all of its holdings in SCO -- 36,656 shares.

Do these people make paperwork such as the forms submitted available? Might be
interesting to check dates and times. How come Yarro (we presume) was filling
with the State Gov and at Canopy at the same time? Do they keep back copies?

There is a principle in law called the DOCTRINE of UNJUST
ENRICHMENT which sounds like what is going on here. IF
Yarro used his position, in concert with other employees
of Canopy, to enrich himself and his co-conspirators at
the expense of the Noordas and the two charities of the
Noorda Family Trust, serious questions should be ask of
the Yarro gang regarding their accumulation of wealth at
the expense of the Canopy company.

A real lawyer might be able to shed some light on this.

According to this SEC document (October 23, 2003) of an S-3 form for The SCO Group
Terry Peterson, Ralph Yarro, and Clint Gurney serve as the board of directors of Angel Partners Inc.

Email as

Rob@Canopy.Com

It just seems too, too appropriate.

BTW, that's the late Rob Penrose, which makes it even more erriely coincidental.
There are a lot of bad jokes angel jokes possible here, but I'll just settle for
pointing out the connection.

Whats the deal, I cant find Angel Partners on the IRS charity list:
